These Terms govern access to SKARTIO websites, software, cloud services, Commerce Cloud, Business Cloud, Agentic AI, cloud infrastructure, APIs, integrations, data services, trials, cybersecurity evaluations, freemium access, promotional credits and related platform experiences.

SKARTIO is a multi-tenant cloud platform. Fair usage protects customers, shared infrastructure, intellectual property, service availability and security. Usage rights depend on your plan, Order Form, published service limits and these Terms. Excessive or abusive usage may be metered, throttled, restricted, moved to a suitable plan or suspended where necessary.

The essential rules.

Stay within your plan

Use SKARTIO within your purchased users, credits, compute, storage, transactions, API, automation and other entitlements.

Do not create a copy

Do not use SKARTIO to produce a clone, replica, “first-copy”, look-alike or unauthorized derivative competing platform.

Protect shared infrastructure

Do not create abnormal load, noisy-neighbour impact, spam, cryptomining, automated abuse, excessive crawling or resource exhaustion.

Test security responsibly

Cybersecurity trials must remain within an authorized scope. Third-party scanning, exploitation and disruptive testing are prohibited without authorization.

Fair Usage Policy.

This Fair Usage Policy forms part of the Terms. It applies whether access is paid, freemium, trial, promotional, sandbox, beta, preview, partner-provided or otherwise made available. Fair use is assessed against plan entitlements, published limits, technical safeguards, legitimate business usage and material impact on SKARTIO, other customers or shared infrastructure.

Agents & AI

Agent runs, inference, tool calls, knowledge retrieval, generated content, automations and model usage are subject to credits, concurrency, rate and safety limits.

Cloud solutions

Commerce Cloud, Business Cloud and other solutions must operate within subscribed users, stores, products, transactions, records, catalogs, sites and solution limits.

Cloud infrastructure

Compute, storage, database, vector search, logs, network traffic, data transfer and background processing must not create unreasonable or harmful platform load.

APIs & automation

API calls, webhooks, integrations, bots, scheduled tasks and machine-to-machine access must follow authentication, published rate limits and approved interfaces.

Freemium & trials

Free access is for legitimate evaluation and permitted use. Account farming, credit harvesting, repeated trials and circumvention of paid limits are prohibited.

Cybersecurity trials

Security evaluation tools may only be used against authorized assets and must not be used for malware, disruption, credential attacks or unauthorized exploitation.

Full terms.

1. Acceptance and scope

These Terms are a binding agreement between the individual or entity using the Services (“you”, “Customer”, “Merchant” or “User”) and the applicable SKARTIO contracting entity. By creating an account, accepting an Order Form, using a trial or freemium plan, paying for a subscription, using an API key, or otherwise accessing the Services, you agree to these Terms.

“Services” includes SKARTIO websites, consoles, software, Commerce Cloud, Business Cloud, Agentic AI, cloud infrastructure, APIs, SDKs, integrations, analytics, data services, themes, templates, applications, documentation, support materials, sandboxes, trials, promotional credits, beta and preview features and any related functionality made available by SKARTIO.

2. Accounts, eligibility and authority

You must provide accurate registration and billing information and keep account details current. You are responsible for credentials, authorized users, permissions, API keys and activity under your account.

If you use the Services for an organization, you represent that you have authority to bind that organization. You must not impersonate another person or entity, share credentials with unauthorized persons, sell or rent accounts, or conceal account ownership to evade usage or eligibility rules.

3. Limited right to use the Services

Subject to these Terms, applicable Order Forms and payment of fees, SKARTIO grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to use the Services for your legitimate internal business purposes during the authorized access period.

Access is a right to use SKARTIO — not a transfer of SKARTIO technology.Except for rights expressly granted, SKARTIO and its licensors reserve all rights, title and interest in the Services and SKARTIO Intellectual Property.

4. Service plans, entitlements and usage limits

Your access may be governed by plan-specific entitlements including users, businesses, sites, stores, products, catalogs, customers, transactions, records, storage, compute, data retention, bandwidth, API requests, concurrent sessions, automation runs, agent credits, inference usage, model access, support level, cloud region and other capacity or feature limits.

Applicable limits may appear in an Order Form, pricing page, plan description, admin console, technical documentation or other service-specific notice. Usage above an entitlement may be blocked, billed, metered, throttled or require a plan change.

5. Fair usage and protection of shared services

SKARTIO operates shared and dedicated cloud environments. Even where a feature is described as “unlimited”, it remains subject to reasonable technical, security and fair-use controls designed to prevent misuse, abnormal resource consumption and material impact on SKARTIO or other customers.

Usage may be considered excessive or abusive when it:

  • Materially exceeds the normal business use associated with the purchased plan or similarly situated customers.
  • Creates sustained abnormal compute, memory, database, storage, network, inference, queue or background-processing load.
  • Degrades availability, latency, reliability or performance for other tenants or platform services.
  • Repeatedly circumvents plan limits, rate limits, credit systems, feature gates, concurrency controls or usage measurement.
  • Uses shared services as bulk infrastructure for workloads materially unrelated to the subscribed SKARTIO solution.
  • Creates avoidable operational or third-party costs disproportionate to the plan being used.

Where practicable, SKARTIO may contact you to reduce usage, optimize workloads or move to a suitable plan. SKARTIO may act immediately where usage threatens security, availability, platform integrity or other customers.

6. Agentic AI, AI models and automated actions

SKARTIO may provide AI assistants, agents, generated content, model routing, knowledge retrieval, recommendation systems, autonomous or semi-autonomous workflows and tools capable of taking actions through connected systems.

Fair usage for Agents and AI includes:

  • Agent runs, inference, tokens, model calls, retrieval, tool calls, workflow steps and related processing may consume plan credits or metered usage.
  • Concurrency, rate, model-family, context-size, file-size, retrieval and execution limits may apply.
  • Automated looping, recursion, runaway agents, synthetic traffic or repeated calls intended to exhaust credits or infrastructure are prohibited.
  • You must not use Agents to bypass access controls, scrape SKARTIO, discover hidden prompts or extract proprietary model-routing or orchestration logic.
  • Agent-generated actions performed through your connected systems are treated as actions initiated under your account and permissions.

Human oversight

You are responsible for configuring appropriate approvals, human review and business controls for material actions. AI outputs may be incomplete, inaccurate or unsuitable for a particular decision and should not be relied upon without appropriate review where consequences are significant.

AI access does not grant model or prompt ownership.Non-public system prompts, agent instructions, routing logic, orchestration, evaluations and proprietary configuration remain SKARTIO or third-party provider technology as applicable.

7. Commerce Cloud, Business Cloud and other cloud solutions

Cloud solution usage must remain within purchased business, user, data and transaction entitlements. You are responsible for the legality and accuracy of products, catalogs, content, customer communications, transactions, financial records, workforce data and other business information processed through your account.

Automated imports, bulk jobs, synchronization, feeds and high-volume operations must use supported tools and must not be configured to create duplicate processing, repeated retries, excessive polling or platform instability.

8. Cloud infrastructure, storage, databases and data services

Where SKARTIO provides cloud infrastructure or infrastructure-backed capabilities, usage may include compute, containers, functions, queues, event streams, relational or non-relational databases, vector search, object storage, logs, analytics, caching, network traffic and data transfer.

Infrastructure misuse includes:

  • Cryptocurrency mining, proof-of-work computation or similar resource-intensive activity not expressly authorized.
  • Operating open proxies, anonymization relays, botnets, command-and-control infrastructure or public file-distribution systems.
  • Unsolicited bulk messaging, spam, abusive crawling, credential attacks or automated traffic generation.
  • Intentional storage of malicious payloads, stolen data or unlawfully obtained credentials.
  • Workloads designed to monopolize shared resources, create a noisy-neighbour effect or generate avoidable excessive egress.
  • Using infrastructure capacity primarily to host unrelated third-party workloads or resell infrastructure without authorization.

9. APIs, webhooks, integrations and automation

API and integration access must use documented or expressly authorized interfaces and credentials. You are responsible for protecting API keys, secrets, tokens and certificates.

  • Respect published rate limits, quotas, concurrency and retry guidance.
  • Use reasonable backoff and avoid uncontrolled retry loops or excessive polling.
  • Do not bypass authentication, authorization, tenant boundaries or API usage measurement.
  • Do not access undocumented private endpoints unless expressly authorized.
  • Do not resell or expose SKARTIO APIs as your own public infrastructure without a written agreement.

10. Freemium, sandbox, trials and promotional credits

Freemium plans, sandbox environments, trials and promotional credits are intended for legitimate evaluation, onboarding, learning and permitted business use. Unless expressly stated otherwise, trial environments should not be relied on for critical production workloads.

Free-access abuse includes:

  • Creating multiple, duplicate, synthetic, coordinated or temporary accounts to repeatedly obtain free access or credits.
  • Using different emails, devices, phone numbers, entities, identities or payment methods to evade eligibility or duration limits.
  • Account farming, automated signups, credit harvesting or resale of promotional access.
  • Pooling or transferring credits where transfer is not expressly permitted.
  • Repeatedly deleting and recreating tenants, stores or accounts to reset free allowances.
  • Using free access primarily for competitive intelligence, cloning, scraping, load testing or extraction of SKARTIO technology.
  • Running sustained production workloads intended to avoid conversion to a paid plan.

SKARTIO may verify eligibility, associate related accounts, revoke credits, restrict trial functionality, require a paid plan, suspend accounts or refuse future promotional access where abuse is reasonably suspected.

11. Cybersecurity products, evaluations and trial access

Any SKARTIO cybersecurity feature, assessment tool, security agent, scanner, monitoring capability, vulnerability evaluation or security trial must be used only for legitimate defensive purposes and only against systems, applications, networks, domains, endpoints, cloud resources or data that you own, control or have express authorization to test.

Unless expressly authorized in writing, you must not use a security trial to:

  • Scan, enumerate, probe or test third-party systems without permission.
  • Exploit vulnerabilities, gain unauthorized access or move laterally into systems.
  • Perform denial-of-service, distributed denial-of-service, resource-exhaustion or destructive testing.
  • Conduct credential stuffing, password spraying, phishing, social engineering or brute-force attacks.
  • Create, deploy, distribute or test malware, ransomware, spyware, destructive payloads or persistence mechanisms.
  • Exfiltrate, alter, destroy or interfere with data or systems.
  • Use the trial as command-and-control infrastructure, an attack relay, proxy or offensive-security service for others.

SKARTIO may require proof of ownership, authorization or testing scope before enabling higher-risk security capabilities. Authorized penetration testing, red-team activity or specialized research requires a separate written scope or program where SKARTIO determines one is necessary.

If you discover a suspected vulnerability in SKARTIO, report it responsibly to support@skartio.ai and do not exploit it beyond what is reasonably necessary to confirm the issue.

12. Beta, preview, experimental and early-access features

Beta, preview, experimental, developer-preview or early-access features may be incomplete, changed or discontinued without the same commitments that apply to generally available services. They may have separate limits, reduced support, shorter data retention or additional restrictions.

Do not use preview features for critical production workloads unless SKARTIO expressly states that such use is supported.

13. SKARTIO intellectual property

SKARTIO and its licensors retain all rights, title and interest in the Services and related intellectual property, including copyrights, trademarks, service marks, software rights, database rights, design rights, trade secrets, confidential know-how and other proprietary rights.

Protected materials may include, to the extent protectable under applicable law, source and object code, APIs, SDKs, schemas, proprietary data models, original workflows, agent configurations, proprietary business rules, documentation, graphics, icons, templates, themes, written content, user-interface assets, original screen compositions, distinctive arrangements, design-system assets, brand elements and proprietary implementation methods.

Nothing in these Terms claims ownership over ideas, concepts, methods or functionality that applicable law does not protect. SKARTIO nevertheless retains contractual, confidentiality and trade-secret rights relating to non-public implementation details and authorized access to the Services.

14. Anti-cloning, anti-mimicry and prohibited competitive use

You must not use access to SKARTIO to build, commission, train, validate or improve a product or service that copies or materially imitates protected SKARTIO expression, proprietary implementation or confidential know-how.

  • No clone, replica, “first-copy”, look-alike, unauthorized white-label copy or derivative substitute.
  • No copying of protectable SKARTIO UI assets, original layouts, visual compositions, graphics, written content or brand presentation.
  • No systematic feature harvesting, teardown or benchmarking conducted for replication of SKARTIO.
  • No use of screenshots, demos, recordings, documentation, schemas or observed behavior as a blueprint for an unauthorized copy.
  • No directing contractors, employees, agents or automated systems to perform prohibited copying on your behalf.
  • No presentation of an imitative product in a manner likely to create confusion regarding affiliation, origin or approval.

15. Reverse engineering, scraping and technical extraction

Except to the extent a restriction is prohibited by applicable law, you must not reverse engineer, decompile, disassemble, decode, translate, adapt, probe, trace, derive or attempt to discover source code, proprietary components, non-public APIs, algorithms, hidden prompts, agent instructions, model-routing logic, private schemas, security controls or internal architecture.

  • No automated scraping or bulk extraction of platform interfaces, documentation, catalogs or proprietary content.
  • No bots or headless automation used to harvest SKARTIO outside approved APIs or supported automation capabilities.
  • No bypassing rate limits, feature gates, licensing, tenancy boundaries, credit systems or security mechanisms.
  • No extraction or reuse of non-public prompts, model-routing logic, agent orchestration or proprietary knowledge structures.

16. Acceptable use

You must not use SKARTIO to:

  • Violate applicable law, regulation, sanctions, court orders or third-party rights.
  • Transmit malicious code or intentionally disrupt systems.
  • Access another customer, tenant, account, data set or resource without authorization.
  • Engage in fraud, deception, impersonation, harassment or abusive activity.
  • Send unlawful or unsolicited bulk communications.
  • Resell, sublicense or provide managed access except under an authorized commercial or partner agreement.
  • Use the Services in a way that could expose SKARTIO or other customers to material security, legal or operational risk.

17. Fraudulent business models, harmful conduct and social abuse

SKARTIO Services must not be used as an enabling, intermediary, coordination, distribution, automation or infrastructure platform for fraudulent, deceptive, abusive or socially harmful activity. You must not use SKARTIO to establish, operate, promote, scale, conceal or facilitate a business, marketplace, campaign, network or workflow whose primary purpose or material effect is unlawful fraud, deception, exploitation or abuse.

Prohibited uses include, without limitation:

  • Fraudulent businesses, fake stores, sham marketplaces, pyramid-style deception, advance-fee schemes, impersonation scams or other schemes intended to obtain money, goods, credentials or data through deception.
  • Misrepresentation of identity, affiliation, product authenticity, business legitimacy, pricing, availability, customer reviews, endorsements or commercial claims in a manner intended to mislead customers or counterparties.
  • Using SKARTIO to facilitate money laundering, mule activity, unauthorized fund collection, fraudulent invoicing, stolen-payment activity or other unlawful financial conduct.
  • Coordinated harassment, bullying, stalking, intimidation, threats, doxxing, targeted abuse or campaigns designed to humiliate, silence or harm individuals or communities.
  • Hate-based abuse, incitement of violence, exploitation of vulnerable persons, trafficking-related activity or content that materially facilitates unlawful harm.
  • Coordinated inauthentic behavior, deceptive amplification, fake engagement, fabricated identities or manipulation campaigns intended to mislead the public, customers, communities or institutions.
  • Using Agents, automation, messaging, CRM, commerce, content-generation or analytics capabilities to scale spam, scams, deceptive outreach, social manipulation or abusive targeting.
  • Creating or operating services whose core purpose is to help third parties conduct fraud, harassment, deception, credential theft, impersonation, unlawful influence or other prohibited abuse.

SKARTIO may restrict or suspend access where it reasonably believes the Services are being used to facilitate fraud, serious deception, coordinated abuse or material harm, including where the customer itself is not the direct actor but knowingly provides the platform, workflow, automation, storefront, marketplace or other enabling layer for such activity.

SKARTIO is not a neutral infrastructure layer for unlawful or abusive business models.Customers are responsible for the legitimacy of their business, users, sellers, partners, campaigns, products, content and transactions. Where a customer operates a marketplace or multi-party platform, it must take reasonable steps to prevent its SKARTIO environment from becoming a channel for fraud or abuse.

18. Customer content, business data and responsibility

You retain rights in content and data you lawfully provide to the Services. You grant SKARTIO the rights reasonably necessary to host, process, transmit, display, back up and otherwise handle that content to provide, secure and support the Services.

You are responsible for the legality, accuracy, permissions and rights associated with your products, catalogs, websites, employee data, customer data, communications, transactions and business activities.

19. Privacy, data protection, security and logs

Processing of Personal Data is governed by the SKARTIO Privacy Policy and, where applicable, a Data Processing Agreement or other written data-protection terms.

SKARTIO may collect service telemetry, authentication records, audit trails, API activity, usage metrics, security events and other operational logs for service delivery, billing, fraud prevention, security, incident response, compliance and enforcement.

Retention and disclosure of logs may also be subject to legal or regulatory requirements applicable to cloud service providers, service providers and bodies corporate in the jurisdictions where SKARTIO operates.

20. Fees, billing, refunds and cancellation

Fees are payable according to your plan, Order Form, invoice or applicable commercial terms. Usage-based charges may apply where stated. You are responsible for applicable taxes and statutory charges.

Cancellation and refund rights are governed by the applicable SKARTIO Cancellation Policy, Refund Policy and any signed commercial agreement. Unless otherwise agreed, cancellation does not create a prorated refund for unused portions of a paid billing cycle.

21. Confidentiality and non-public information

Non-public technical, commercial, security, architecture, product, roadmap, pricing, configuration and operational information disclosed by SKARTIO is confidential where a reasonable person would understand it to be confidential.

You must protect it and use it only for your authorized relationship with SKARTIO. Confidentiality obligations do not apply to information lawfully public, independently developed without reference to confidential information, or lawfully obtained from another source without restriction.

22. Third-party services, models and integrations

SKARTIO may interoperate with payment providers, logistics providers, messaging systems, marketplaces, cloud infrastructure, AI model providers and other third-party products. Third-party services may be subject to their own terms, limits and privacy practices.

SKARTIO may change or replace third-party providers, models or infrastructure components where reasonably necessary to maintain, improve, secure or operate the Services, subject to applicable contractual commitments.

23. Support, maintenance and service levels

Support channels, response targets, availability commitments, maintenance windows, service credits, recovery objectives and other service levels apply only where stated in the relevant plan, support policy, SLA, Order Form or signed agreement.

Fair-usage or abuse-related throttling, customer-caused incidents, third-party outages, unsupported configurations and preview features may be excluded from service-level commitments where the applicable SLA so provides.

25. Investigation, throttling, suspension and termination

SKARTIO may investigate suspected violations and may use reasonable technical and account-level measures to protect the Services. Depending on the issue, measures may include warnings, verification, usage optimization requests, rate limiting, throttling, disabling a feature, removing credits, requiring a plan change, restricting an API, suspending access or terminating an account.

SKARTIO may act without prior notice where reasonably necessary to address an urgent security threat, unlawful activity, active attack, material infrastructure impact, serious IP infringement, unauthorized cloning, fraud, deceptive business activity, coordinated social abuse, evidence destruction risk or harm to other customers.

Fair-use enforcement is intended to be proportionate.Where practicable and safe, SKARTIO will seek to resolve non-malicious overuse through notice, optimization, metering or an appropriate plan before terminating access.

26. Service and AI disclaimers

Except as expressly provided in a signed agreement and to the maximum extent permitted by applicable law, the Services are provided on an “as available” basis. SKARTIO does not guarantee that every feature, third-party integration, AI output or preview service will always be uninterrupted, error-free or suitable for every business requirement.

AI-generated content, recommendations and automated decisions may contain errors or unexpected results. You remain responsible for appropriate review, approvals and business decisions made using the Services.

27. Limitation of liability and indemnity

Limitations of liability, exclusions of damages, indemnification obligations and financial caps contained in an applicable Order Form, enterprise agreement or signed commercial contract form part of these Terms.

To the extent permitted by law, you are responsible for claims, losses and costs arising from your unlawful use, infringement of third-party rights, unauthorized content, misuse of Personal Data, unauthorized security testing or material breach of these Terms.

28. Legal, regulatory and cybersecurity compliance

Each party is responsible for laws and regulations applicable to its own activities. Customers must not use SKARTIO in violation of applicable computer-misuse, privacy, data-protection, intellectual-property, export-control, sanctions, consumer-protection or cybersecurity laws.

SKARTIO may preserve or disclose information where required by valid legal process, cybersecurity directions, regulatory obligations or lawful government requests, subject to applicable law and contractual confidentiality obligations.

29. Governing terms, order of precedence and disputes

If an Order Form, enterprise agreement, data-processing agreement, SLA or other signed agreement conflicts with these online Terms, the signed agreement controls to the extent of that conflict.

Governing law, jurisdiction, arbitration and dispute-resolution terms should be stated in the applicable contracting agreement or approved jurisdiction clause for the relevant SKARTIO contracting entity. SKARTIO should not rely on this online provision as a substitute for an approved jurisdiction clause.

30. Changes, survival and contact

SKARTIO may update these Terms to reflect changes in products, technology, law, security, business operations or commercial models. Material changes will be communicated where required by applicable law.

Provisions that by their nature should survive termination — including ownership, confidentiality, accrued payment obligations, restrictions on misuse, disclaimers, liability provisions and dispute terms — survive to the extent legally enforceable.

Measure

SKARTIO may measure resource use, API traffic, agent consumption, storage, compute, concurrency, security events and other service telemetry.

Protect

Rate limits, quotas, usage controls, tenant isolation, anomaly detection and service safeguards may be used to protect customers and infrastructure.

Right-size

Legitimate sustained growth may require optimization, additional capacity, a higher plan or dedicated infrastructure rather than punitive restriction.

Enforce

Abuse, attacks, repeated circumvention, IP misuse or serious security violations may lead to immediate restriction, suspension, termination or legal action.
